Job Description

Our non-profit client, in partnership with a non-profit organization near Downtown San Diego , seeks a talented Legal Counsel on a contract basis. The hired Legal Counsel will be assisting the CFO and other high-level professionals in a legal capacity.

Position – Legal Counsel

Location – near Downtown San Diego

Job Status (DH/T2H/T) – Temp/Contract. There is a possibility of Temp to Hire for this role.

Job Site Status (Onsite/Hybrid/Remote) – Onsite/Hybrid. The hired Legal Counsel will work onsite for the first 2 months of the assignment, and then work a hybrid schedule.

Pay Range – Estimated hourly rate of $54-$65/hour.

RESPONSIBILITIES OF THE LEGAL COUNSEL

Labor & Employment

  • Advise management on federal and state employment laws, including wage and hour issues, FMLA, ADA, and anti-harassment policies.
  • Draft, review, and revise employee handbooks and human resources policies.
  • Manage employment agreements, independent contractor classifications, and assist with disciplinary actions, onboarding, and offboarding processes.
  • Oversee or manage employment-related disputes and potential litigation, coordinating with outside counsel as needed.

Real Estate

  • Provide legal support for all property transactions, including acquisitions, dispositions, leases, and facilities use agreements.
  • Draft and negotiate real estate agreements and address complex leasing issues.
  • Ensure compliance with relevant federal, state, and local real estate and land use laws, including ADA compliance.

Corporate Transactions & Governance

  • Ensure compliance with all federal and state non-profit regulations, including charitable solicitation laws and tax-exemption requirements.
  • Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, service contracts, and grant agreements.
  • Advise the Board of Directors and upper management on corporate governance, fiduciary duties, conflicts of interest, and best practices.
  • Support the organization on strategic initiatives, such as potential mergers, acquisitions, joint ventures, and other transformative transactions.
  • Manage the organization's intellectual property portfolio (trademarks, copyrights) and various insurance policies.

Risk Management

  • Proactively identify legal risks and implement mitigation strategies to protect the organization’s assets and reputation.

Miscellaneous

  • Accept all miscellaneous tasks as given by upper management.

QUALIFICATIONS OF THE LEGAL COUNSEL

Required

  • Minimum of 4+ years of corporate transactional experience , including:
  • Labor and Employment Law (California-specific experience required).
  • Real Estate transactions and contract review.
  • Corporate Transactions and Contract Drafting.
  • Active member in good standing with the California State Bar.
  • Prior in-house or national law firm experience.
  • Experience dealing with or working in non-profit institutions ( advocacy groups, charitable organizations, performing arts, unions , etc.)

Preferred

  • Prior Work Experience at an AmLaw 200-type law firm.

SKILLS OF THE LEGAL COUNSEL

Required

Technical

  • Strong contract drafting, negotiation, and review skills.
  • In-depth knowledge of California labor and employment law.
  • Solid understanding of real estate transactions and related documentation.

  • Superior interpersonal skills.
  • Adaptability to a mission-driven, diverse, and dynamic nonprofit environment.
