A highly regarded client is seeking a Corporate Attorney to join its team in Columbus, offering a unique opportunity to work on traditional corporate and business transactions, while specializing in post-closing M&A disputes and transaction risk assessments. Key Responsibilities:

• Advise clients on business formation, corporate governance, and contract matters.
• Draft and negotiate agreements for mergers and acquisitions (M&A) and other complex transactions.
• Conduct due diligence and manage closing processes.
• Handle disputes involving purchase price adjustments, earn-outs, and valuation of damages.
• Analyze financial statements and transaction documents to resolve complex issues.
• Provide guidance to clients on potential liabilities and ensure policies are enforced as intended.

Qualifications:

• 3+ years of experience in complex business transactions, including M&A, corporate governance, and contract matters.
• Strong academic credentials; undergraduate degree in finance or accounting preferred.
• Previous work experience with tax, finance, or accounting related matters.
• Ability to work independently and collaboratively.
